GP和LP是有限合伙企業(yè)的兩個(gè)角色。
GP叫一般合伙人，就是基金經(jīng)理，管錢(qián)的一方。
LP叫有限合伙人，就是投資者，出錢(qián)的一方。
Funds that are structured as limited partnerships are governed by a limited partnership agreement between the fund manager, called the general partner (GP), and the fund’s investors, called limited partners (LPs). 有限合伙制的基金由基金經(jīng)理（普通合伙人）和基金投資者（有限合伙人）之間的有限合伙協(xié)議管理
Whereas the GP has management control over the fund and is jointly liable for all debts, LPs have limited liability, i.e., they do not risk more than the amount of their investment in the fund. 普通合伙人對(duì)基金擁有管理控制權(quán)，并對(duì)所有債務(wù)共同承擔(dān)責(zé)任，而有限合伙人則承擔(dān)有限責(zé)任，即，他們承擔(dān)的風(fēng)險(xiǎn)不超過(guò)其在基金中的投資額
