The use of UPREIT and DOWNREIT structures can create conflicts of interest between the partnership and REIT shareholders when it comes to making decisions on the disposition of properties or increasing company debt levels and may involve additional administrative costs.
For example, the disposition of a particular property or the use of more mortgage debt financing might have tax implications for the limited partners who sold the property to the operating partnership and tax considerations could cause their interests to vary from the best interests of the REIT as a whole.

大概意思就是LP拿自己手里的房子換OP(經(jīng)營型合伙單位,operating partnership unit),然后GP拿這些房子運(yùn)作,這樣LP并沒有賣掉房子,從而遞延了資本利得稅。而如果REIT為買新房要賣掉現(xiàn)有房產(chǎn)時(shí),賣房就要交資本利得稅,而LP之所以用房產(chǎn)換OP就是不想交稅。所以兩者出現(xiàn)了沖突。再者如果REIT抵押貸款買房子,這樣會導(dǎo)致REIT管理的規(guī)模變的更大,從而會收更多的行政費(fèi)用,這也是利益沖突之一,投資者可能會覺得GP擴(kuò)大規(guī)模就是為了想多掙我的行政費(fèi)。
